Acceptance
These Terms and Conditions govern your use of stackvelsolutions.com and set out the general conditions on which Stackvel Solutions discusses and carries out work. By browsing this website, submitting an enquiry, or engaging us, you accept them. If you are acting for a company, you confirm you are authorised to accept them on its behalf.
If you do not accept these terms, please do not use the site.
Our services and how work is agreed
Stackvel Solutions provides website development, custom software and ERP development, SaaS development, Android and iOS application development, digital marketing and SEO, and AI and business automation services.
Nothing on this website is an offer capable of acceptance. Scope, deliverables, milestones, timelines, fees, payment schedule, support arrangements and any service levels are agreed separately in a written proposal, quotation, statement of work or agreement signed by both parties. Where such a document conflicts with these terms, the signed document prevails for that engagement.
Estimates, timelines and change
Estimates are prepared on the information available at the time and on the scope as it stands then. Software projects change as they are built; where a request falls outside the agreed scope, we will say so, price it, and proceed only once you approve it in writing.
Delivery dates assume timely input from you — content, approvals, access, credentials and decisions. Delays in providing them move the dates accordingly.
Your responsibilities
- Provide accurate information, content and materials, and the rights to use them.
- Give timely feedback and approvals at the review points set out in the agreement.
- Provide access, accounts and third-party credentials the work requires, and keep those credentials secure.
- Hold the licences for any third-party software, font, image, plugin or service the project depends on.
- Keep your own copy of the data you supply to us.
You are responsible for the lawfulness of the content and data you ask us to publish or process, including any consent required from the individuals it relates to.
Fees and payment
Fees, currency and the payment schedule are set out in the proposal or agreement for each engagement. Unless agreed otherwise in writing:
- invoices are raised in Indian Rupees and are payable within the period stated on the invoice;
- Goods and Services Tax and any other applicable statutory levy is charged in addition at the prevailing rate;
- third-party costs — hosting, domains, licences, app store fees, advertising spend — are billed at cost or paid by you directly, as agreed;
- work may be paused on an overdue account until payment is received.
Intellectual property
Once the fees for a deliverable have been paid in full, the custom code, designs and documentation created specifically for you under that engagement belong to you.
Stackvel Solutions retains ownership of anything it brought to the project or developed independently of it — its own libraries, tooling, frameworks, components and general know-how. Where a deliverable includes such material, you receive a non-exclusive, perpetual, royalty-free licence to use it as part of that deliverable.
Third-party and open-source components remain the property of their owners and are provided to you under their own licences.
You keep ownership of everything you supply to us. You grant us the licence we need to use it for the purpose of doing the work.
Portfolio and publicity
Unless you tell us otherwise in writing, we may name you as a client and show the public-facing work we did for you on this website and in proposals. We will not publish your confidential information, your internal screens or your data. Ask us and we will remove a reference.
Confidentiality
Each party will keep the other’s confidential information confidential, use it only for the purposes of the engagement, and not disclose it to anyone who does not need it for that purpose. This does not cover information that is already public, that the receiving party already held, or that it is legally required to disclose.
Where an engagement calls for it, we are glad to sign a separate non-disclosure agreement before detailed discussions begin.
Warranties and what we do not promise
We will carry out our work with reasonable skill and care, using suitably experienced people.
We do not warrant that software will be free of defects, that a website will rank in any particular position in search results, that a marketing campaign will produce a particular number of leads, or that third-party platforms, APIs and services will remain available or unchanged. Where a defect in our work is reported within the warranty period agreed for that engagement, we will correct it at no charge.
Except as expressly set out in a signed agreement, the website and its content are provided on an “as is” basis without warranties of any kind, to the extent permitted by law.
Limitation of liability
To the fullest extent permitted by applicable law, Stackvel Solutions is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or data, however arising.
Our total liability in connection with an engagement is limited to the fees actually paid by you to us under that engagement.
Nothing in these terms limits liability that cannot be limited under Indian law, including liability for fraud.
Third-party services
Projects frequently depend on services we do not control — hosting, payment gateways, email and messaging providers, app stores, advertising platforms, analytics and AI providers. Their availability, pricing, terms and behaviour are theirs to set. We are not responsible for their acts, omissions or changes, and their own terms apply to your use of them.
Suspension and termination
Either party may end an engagement in the circumstances set out in the signed agreement. On termination you pay for work completed and for committed third-party costs incurred up to that date, and we hand over the deliverables paid for in full.
We may suspend or withdraw access to this website at any time without notice.
Acceptable use of this website
Do not use this website to send unlawful, abusive or misleading material, to attempt unauthorised access to it or to any system connected to it, to introduce malicious code, to scrape it at a rate that interferes with its operation, or to impersonate anyone.
Force majeure
Neither party is liable for a failure or delay caused by something outside its reasonable control, including natural events, epidemics, industrial action, war, civil unrest, government action, and failures of power, telecommunications or internet infrastructure.
Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to any dispute resolution procedure agreed in a signed agreement.
Changes to these terms
We may update these terms. The version published on this page at the time you use the site is the one that applies. The date at the top shows when it was last reviewed.
